26 laboratories of the well-known medical network “Esculab” have suspended operations because of an internal conflict between the company's co-owners. According to Serhii Diadiushko, one of the brand's co-owners, his colleagues Denys Melnyk and Stanislav Luhovskyi, together with software administrator Ihor Malinovskyi, are taking unlawful actions aimed at gaining full control of the company.
“Melnyk and Luhovskyi have repeatedly expressed their dissatisfaction with the official accounting of cash. Their actions are aimed at gaining control of Esculab in order to obtain full access to its financial flows and then divert them into their own hands, outside official accounting and without paying taxes,” says Serhii Diadiushko.
He also claims that the other co-owners proposed handling a significant part of the cash outside cash accounting and distributing it without paying taxes.
“They proposed handling the lion's share of the funds received outside cash accounting and distributing them among the company's participants without paying taxes. I categorically refused such proposals and repeatedly stated my rejection of unlawful actions. In this connection, Melnyk and Luhovskyi launched a raider attack aimed at removing me from the company's participants by depriving me of my stake,” Diadiushko said.
The raider attack, according to Diadiushko, included the systematic convening of general meetings of participants in violation of the established procedure, which led to the artificial creation of preconditions for his removal from the company's participants. Melnyk and Luhovskyi also involved employees of the Lviv Directorate of “Ukrposhta” to ensure that he did not receive notices of the meetings.
“I turned to law enforcement and am preparing documents to go to court. Despite constant psychological pressure and threats, I was forced to agree to be dismissed as director and to sign a new version of the charter in order to prevent my removal from the company's participants,” he stressed.
This situation led to the temporary paralysis of the work of 26 laboratories of the “Esculab” network in Kyiv, which negatively affected the provision of medical services to the public.
“As of today, having obtained control of Esculab through a series of raider actions, Melnyk and Luhovskyi, as well as Malinovskyi, who administers the company's software (computer program) on the basis of which the company conducts its business activity, have blocked my access to that program as a participant and medical director of Esculab and are jointly withdrawing cash from the company without paying taxes, in the amount of about UAH 20,000,000 every month. Such actions by these persons result in the actual non-receipt by the budget of mandatory payments of about UAH 3,000,000 – 4,000,000 every month, which in turn, during martial law, negatively affects the country's defense capability. Because of this, the 26 biomaterial collection points in Kyiv effectively cannot carry out their activities,” emphasizes the company's co-owner.
Serhii Diadiushko considers these actions nothing other than a raider attack whose aim is to deprive him of his stake in “Esculab.”
“A demand was put to me – either resign as director or they would remove me from the company's participants. The case has now been passed to law enforcement. Documents are also being prepared to go to court in order to restore my lawful rights,” Diadiushko notes.
“Esculab” was founded in 2009 and holds a leading position in western Ukraine in the field of medical laboratories, providing a wide range of laboratory services to the public with four laboratories and more than 150 biological material collection points.
In 2023, “Esculab” paid UAH 33.8 million in taxes, including the unified social contribution (USC) – UAH 14.97 million, the military levy – UAH 1.33 million, and personal income tax (PIT) – UAH 14.034 million. It is among the ten largest taxpayers in Lviv Oblast.
The co-founders of Private Enterprise (PP) “PSML Esculab” are Diadiushko, who owns 43% of the company, Luhovskyi (43%) and Melnyk (14%). The co-founders of LLC “Esculab Center” are Diadiushko, Luhovskyi and Melnyk, each of whom owns 20% of the company, as well as Ruslana Soltani, who owns 40%.
